Eligibility

This Service is intended for businesses and organizations. By using the Service, you represent and warrant that:

• You have the authority to bind your organization to these Terms
• Your organization is a legally registered business entity
• You are at least 18 years old

Business Accounts

Account Creation

• You must provide accurate and complete business information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account for:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Harm to creators, users, or our platform
• Any other reason at our sole discretion

Services and Features

Marketing Platform

Our platform connects businesses with local creators to facilitate hyperlocal marketing campaigns.

Campaign Management

• You are responsible for campaign content and brief that you share with us and their compliance with laws
• All advertising must comply with applicable regulations
• You must have rights to any content used in campaigns
• Campaign budgets and terms are agreed upon with creators

Payment Terms

Fees and Billing

• Service fees are outlined in your campaign agreement
• Payments are due according to the payment schedule
• Late payments may incur interest charges
• We reserve the right to modify fees with notice

Refund Policy

Refunds are handled on a case-by-case basis and depend on:

• Campaign stage and deliverables completed
• Cancellation timing
• Agreement with creators
• Platform usage and services rendered

Business Conduct

You agree to:

• Provide truthful information in campaigns and communications
• Treat creators and users with respect
• Comply with all advertising and marketing laws
• Respect intellectual property rights
• Honor agreements made with creators
• Provide accurate reporting of campaign requirements

Prohibited Activities

You may not:

• Use the Service for illegal activities
• Infringe on intellectual property rights
• Engage in deceptive or misleading advertising
• Discriminate against creators or users
• Manipulate metrics or engagement data
• Harass or abuse creators, users, or staff
• Violate privacy or data protection laws

Creator Relationships

Independent Contractors

Creators on our platform are independent contractors. Onemyle is not responsible for:

• Creator performance or deliverables
• Disputes between businesses and creators
• Tax obligations of creators
• Creator conduct outside the platform

Campaign Agreements

• You are not responsible for negotiating terms with creators
• All campaign requirements should be clearly documented
• There should be no room for any direct disputes with the creators since your interaction will be only with Onemyle - the platform
• In the unlikely event of a dispute with creators, Onemyle as a platform may facilitate but not mediate all disputes

Intellectual Property

Your Content

• You retain ownership of your business content and materials
• You grant us license to display and distribute your content for platform purposes
• You warrant that you have rights to all content you provide

Platform Content

All platform content, including design, software, and documentation, is owned by Onemyle and protected by intellectual property laws.

Creator Content

All creator content that they create is owned by them and licensed to Onemyle for use, display and distribution.

Trademark Usage

You may not use Onemyle's trademarks without prior written permission.

Data and Analytics

Campaign Data

You will receive analytics and performance data for your campaigns, including:

• Impressions and reach metrics
• Engagement statistics
• Conversion tracking (where applicable)
• Audience demographics

Data Ownership

Campaign performance data is provided for your use. We retain rights to use aggregated, anonymized data for platform improvements.

Third-Party Services

Our platform may integrate with or link to third-party services. We are not responsible for third-party content, policies, or practices.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES, INCLUDING:

• Warranties regarding campaign success or ROI
• Creator availability or performance guarantees
• Uninterrupted service or error-free operation
• Specific marketing outcomes or results

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEMYLE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, or business opportunities
• Campaign performance or failure to meet goals
• Creator conduct or deliverable quality
• Data loss or security breaches beyond our control

TOTAL LIABILITY SHALL NOT EXCEED FEES PAID IN THE 12 MONTHS PRIOR TO THE CLAIM.

Indemnification

You agree to indemnify Onemyle from claims arising from:

• Your use of the Service
• Your campaigns or marketing content
• Violation of these Terms
• Violation of laws or third-party rights
• Disputes with creators or users

Dispute Resolution

Governing Law

These Terms are governed by the laws of [Your Jurisdiction].

Arbitration

Disputes shall be resolved through binding arbitration, except where prohibited by law.

General Provisions

Entire Agreement

These Terms, along with your campaign agreements, constitute the entire agreement.

Severability

Unenforceable provisions will be modified to the minimum extent necessary.

No Waiver

Failure to enforce any provision does not waive our right to do so later.

Assignment

You may not assign these Terms without consent. We may assign without restriction.
